Terms & Conditions — Consumer

1. Agreement

These Consumer Terms ("Terms") govern your use of ColdAI's consumer-facing products and the Medusa AI Platform (collectively, "Services") offered by ColdAI LLC ("ColdAI," "we," "us"). By creating an account or using our Services, you agree to these Terms. If you do not agree, do not use our Services.

If you are using the Services on behalf of a business, the Commercial Terms apply instead.

2. Eligibility

You must be at least 16 years old (or the age of digital consent in your jurisdiction) to use our Services. By agreeing, you represent that you meet this requirement. If you are between 16 and 18, you confirm you have parental or guardian consent.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials.
You must provide accurate, current information and update it as needed.
You are responsible for all activity under your account.
Notify us immediately of unauthorized access at shayan@coldai.org.
You may not share, transfer, or sell your account.

4. Free and Paid Plans

We offer free-tier access with usage limits and paid plans ("Subscriptions"). Free-tier features may change at any time. For paid plans:

You authorize recurring charges to your payment method.
Subscriptions auto-renew unless cancelled before the renewal date.
You may cancel anytime; access continues until the period end.
Refunds are available within 7 days of initial purchase if you have not materially used the Services. Contact shayan@coldai.org.
Usage-based charges (API calls, agents, storage) are non-refundable once consumed.

5. Acceptable Use

You agree not to use the Services to:

Generate, distribute, or promote content that is illegal, harmful, hateful, or sexually explicit involving minors.
Impersonate any person or entity or misrepresent your affiliation.
Engage in harassment, bullying, or targeted abuse of individuals.
Create or spread misinformation, disinformation, or deepfakes without clear disclosure.
Conduct unauthorized data collection, scraping, or surveillance.
Attempt to reverse-engineer, decompile, or extract our models or systems.
Circumvent usage limits, access controls, or safety filters.
Use the Services for any automated or large-scale commercial activity without a Commercial subscription.

6. Your Content and AI Outputs

6.1 Your Inputs

You retain ownership of the content, prompts, and files you submit. By submitting, you grant ColdAI a limited license to process your inputs to deliver the Services.

6.2 AI Outputs

Outputs generated by AI are provided for informational purposes. AI can make errors. Do not rely solely on AI outputs for medical, legal, financial, or safety-critical decisions. You are responsible for reviewing and validating any outputs before use.

6.3 No Expectation of Privacy in Inputs

Do not submit sensitive personal information such as government IDs, passwords, financial account numbers, or health records into AI prompts unless you have reviewed and accepted our privacy controls for such data.

7. Intellectual Property

The Services, including all software, design, documentation, and models, are the property of ColdAI. You receive a personal, non-commercial, non-transferable license to use the Services for your own personal use.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR EXPECTATIONS. AI OUTPUTS MAY BE INACCURATE, INCOMPLETE, OR OUTDATED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY CONSUMER PROTECTION LAWS IN YOUR JURISDICTION, COLDAI'S LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS IS LIMITED TO THE AMOUNTS YOU PAID US IN THE PAST 12 MONTHS, OR $100 USD, WHICHEVER IS GREATER. Nothing in these Terms limits liability that cannot be excluded under applicable consumer protection law.

10. Termination

You may delete your account at any time through account settings. ColdAI may suspend or terminate your account if you violate these Terms, with or without notice depending on severity. Upon termination, your data is handled per our Privacy Policy.

11. Modifications

We may update these Terms. We will provide at least 30 days' notice of material changes via email or in-app notification. Continued use after the effective date constitutes acceptance. If you disagree, you may terminate your account before the changes take effect.

12. Governing Law and Disputes

These Terms are governed by the laws of Delaware, USA. Consumer users in jurisdictions with mandatory local consumer protection laws retain those rights regardless of this clause. We encourage you to contact us at shayan@coldai.org before initiating any formal dispute.
